User Agreement
This User Agreement (hereinafter referred to as the "Agreement") is a legal agreement between you (including but not limited to individuals, teams, enterprises, etc., hereinafter referred to as "User", "you" or "Party B") and Furong Uptech Solution Co., Ltd (hereinafter referred to as "the Company"), applicable to your downloading, installation and use of the CTOTrader application software (hereinafter referred to as "the Software"). Before using the Software, please read all the terms and conditions of this Agreement carefully. By installing, copying or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree to any terms of this Agreement, please do not install or use the software.
"The Software" refers to the relevant application software developed by the Company, including but not limited to applications, mobile versions, updates, upgrades, revisions, patches, add-ons, and related documentation and support materials.
"User" refers to any individual or legal entity that downloads, installs, accesses or otherwise uses the Software.
"Service" refers to all functions and operations provided through the Software, including but not limited to trading, market analysis, data transmission and account management.
"Intellectual Property" refers to all patents, trademarks, copyrights, trade secrets and other intellectual property related to the Software.
"Affiliate" refers to any company, entity or organization that has a direct or indirect control relationship with the Company.
"Account" refers to a personal or business account created by the user with a unique identifier and password protection for using the Software.
The Company grants the User a limited, non-exclusive, non-transferable and revocable license to download, install and use the Software on the User's device. The User shall use the Software legally in accordance with the terms and conditions of this Agreement.
The User shall not use the Software in any of the following ways:
- Sell, rent, lease, transfer or distribute all or part of the Software;
- Modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to extract the source code of the Software;
- Delete, obscure or change any copyright, trademark or other ownership statement or notice in the Software.
If the User violates any term of this Agreement, the Company has the right to terminate the User's license to use the Software without further notice. After termination, the User must immediately stop using the Software and delete or destroy all copies of the Software.
The ownership, copyright and other intellectual property rights of the Software and all its copies shall belong to the Company. The User's use of the Software is limited to the rights explicitly granted in this Agreement, and any rights not explicitly granted in this Agreement are reserved by the Company.
The User shall not delete, obscure, modify or cover any intellectual property statement or notice in the Software. The User shall not take any action to weaken, limit or damage the Company's intellectual property rights in the Software.
The User shall not copy, modify, distribute or otherwise utilize the Software or any part of it without authorization. If the User violates the provisions of this Agreement, the Company has the right to immediately terminate the User's license and take legal action to protect the Company's rights.
The User shall keep the login information of his/her account properly and be responsible for all activities carried out using his/her account. The Company shall not be liable for any loss or damage caused by the User's failure to properly protect account information.
The User agrees to use the Software only in a lawful and proper manner and comply with all applicable laws and regulations. The User shall not use the Software for any illegal activities, including but not limited to fraud, money laundering, terrorist financing or other illegal acts.
The User acknowledges that there are risks involved in using the Software for trading, which may result in partial or total investment loss. The User shall bear all trading risks according to his/her own financial situation and risk tolerance. The Company shall not be responsible for the User's trading results or investment losses.
The User shall ensure that all information provided to the Company is accurate, complete and up-to-date. If the User provides false, inaccurate or incomplete information, the Company has the right to immediately terminate the User's license.
Leveraged trading involves high risks and may not be suitable for all investors. Leverage may lead to increased losses. The User should fully understand the characteristics and risks of the trading market before using the Software for trading and independently assess his/her investment objectives, experience and financial situation.
The Company does not provide any form of investment advice or recommendation. Any information, data, analysis or tools provided in the Software are for reference only, and the User shall make trading decisions based on his/her own judgment or seek professional advisers' advice. The Company shall not be responsible for the User's investment decisions or trading results.
The User should understand and accept that market trading may result in partial or total investment losses. The Company shall not be liable for any loss or damage caused by using the Software for trading.
The Company may collect personal and non-personal information related to the User's use of the Software. This information includes but is not limited to the User's name, contact information, IP address, device information, usage patterns, geographic location and transaction data.
The Company will use the User's personal information to provide and improve the services of the Software, analyze usage, provide customer support, and comply with legal requirements. The Company will not sell or disclose the User's personal information to third parties without the User's consent, unless required by law or to provide the services requested by the User.
The Company takes reasonable technical and organizational measures to protect the User's personal information from unauthorized access, use or disclosure. However, the User should understand that there are no absolutely secure measures in the Internet environment, and the Company cannot fully guarantee the security of information.
The Software may contain or link to services provided by third parties. The Company makes no guarantee as to the content, accuracy or quality of any third-party services.
The User's use of any third-party services shall comply with the corresponding service terms, and the third-party providers shall be responsible for the use of these services. The Company shall not be liable for the content, quality, performance or security of any third-party services.
The Software may include content provided by third parties, such as advertisements, links, information or other materials. The Company does not assume any responsibility for the accuracy, completeness or timeliness of third-party content.
The Company provides the Software "as is" without any express or implied warranty, including but not limited to any warranty of merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent permitted by law, the Company and its affiliates, employees and agents shall not be liable for any direct, indirect, incidental, special or consequential damage caused by the use or inability to use the Software, including but not limited to profit loss, data loss, business interruption or other economic losses.
The User shall be responsible for his/her actions and consequences when using the Software. The User acknowledges and accepts that the Company shall not be liable for any loss or damage caused by the User's actions or decisions.
The Company reserves the right to modify or update this Agreement at any time, and the modified terms will be notified to the User through software updates or on the Company's website. The User's continued use of the Software indicates acceptance of these modifications. If the User disagrees with any modification, he/she should immediately stop using the Software and delete its copies.
The Company may periodically release updated versions of this Agreement. The User is responsible for regularly checking the latest version of this Agreement and complying with its provisions.
The Company has the right to terminate the User's license to use the Software at any time for any reason. The User can terminate this Agreement at any time by deleting the Software. After termination, the User must destroy all copies of the Software and stop all related use.
After the termination of this Agreement, the User shall still bear all responsibilities and obligations arising from the use of the Software. The Company's disclaimer and limitation of liability clauses remain valid after the termination of the Agreement.
This Agreement constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes any previous oral or written agreements.
If any term of this Agreement is deemed invalid or unenforceable, the remaining terms will continue to be valid.
Without the prior written consent of the Company, the User shall not transfer any rights or obligations under this Agreement.
The User agrees to use electronic communications to enter into contracts, place orders and create other records, as well as for the electronic delivery of notifications, policies and records of transactions initiated or completed through the Software. To the extent permitted by applicable law, the User hereby waives any right or requirement under the laws or regulations of any jurisdiction to require the provision of original non-electronic signatures or the delivery or retention of non-electronic records.
